Terms of Service

Welcome to Lumio Labs LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website and our AI automation services, including multichannel lead capture, missed call response automation, speed-to-lead systems, Google Maps review engines, dead lead reactivation systems, and estimate follow-up automation (collectively, the "Services").

By signing an order form, executing a statement of work, or accessing and using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

1. Services & Account Eligibility

• Authorized Use: You must be a validly existing business entity or an individual authorized to form a legally binding contract to use our Services.

• Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials. You accept full responsibility for all activities that occur under your account.

• Modifications: We continuously improve our AI algorithms and features. We reserve the right to modify, update, or discontinue aspects of our Services at any time, provided that such modifications do not materially diminish the core functionality of the Services you have paid for.

2. Acceptable Use and Compliance

Our Services involve automated communications (SMS, email, and web-based interactions). You agree to use the Services strictly in compliance with all applicable laws.

• TCPA & Carrier Compliance: You represent and warrant that you have obtained explicit, verifiable consent from your leads, clients, and end-users before initiating any automated text messages, emails, or calls through our systems. You must comply with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and wireless carrier guidelines (such as 10DLC regulations).

• Prohibited Content: You may not use our Services to transmit any content that is unlawful, harmful, defamatory, deceptive, or includes forbidden categories designated by wireless carriers (e.g., high-risk financial marketing, illegal substances, or spam).

• Remediation: We reserve the right to immediately suspend your account or restrict your access to communication channels if we detect high opt-out (STOP) rates, high carrier error codes, or complaints indicating a lack of proper user consent.

3. Fees, Billing, and Renewals

• Payment Terms: You agree to pay all fees specified in your service agreement or subscription plan. Unless otherwise agreed, all fees are billed in advance and are non-refundable.

• Usage-Based Charges: Certain services (such as SMS/telephony fees, AI token usage, and email volume) may incur additional usage costs. You are responsible for maintaining a valid payment method on file to cover these operational costs.

• Late Payments: Failure to settle outstanding balances within five (5) business days of the invoice date may result in a temporary suspension of automated services until your account is brought current.

4. Intellectual Property Rights

• Our Technology: Lumio Labs LLC retains all rights, title, and interest in and to our proprietary AI engines, software, automation workflows, templates, and website content. No ownership rights are transferred to you.

• Your Data & Materials: You retain all intellectual property rights over the data, lists, logos, and materials you upload to our platform. You grant us a limited, non-exclusive license to process your data solely for the purpose of executing the Services on your behalf.

5. Limitation of Liability & Disclaimers

• "As Is" Basis: The Services are provided on an "as is" and "as available" basis. We do not guarantee that our AI models will be 100% error-free, that leads will convert at a specific rate, or that automated responses will always accurately predict human intent.

• Limitation of Liability: To the maximum extent permitted by law, Lumio Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you to us in the three (3) months preceding the incident.

6. Indemnification

You agree to defend, indemnify, and hold harmless Lumio Labs LLC, its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your breach of these Terms or applicable laws (including TCPA and CAN-SPAM violations).

• Your collection, handling, or unauthorized use of consumer contact data.

• The nature and content of communications sent to your customers through our automation platforms.

7. Termination

• Term: These Terms remain in effect as long as you maintain an active account or service agreement with us.

• Termination for Cause: Either party may terminate the relationship immediately if the other party breaches a material term and fails to cure such breach within fifteen (15) days of written notice.

• Effect of Termination: Upon termination, your right to use the AI automation systems ceases immediately. You remain responsible for any fees accrued prior to the effective date of termination.

8. Governing Law & Dispute Resolution

These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Wyoming.
